Victory Partners VIII Limited, a company controlled by ABRY Partners VIII (Cayman AIV), L.P. (the "Vendor"), has retained Nordea Bank Abp, filial i Norge and SpareBank 1 Markets AS (jointly the "Managers") to explore a potential block sale of existing shares in Link Mobility Group Holding ASA (the "Company") through an accelerated bookbuilding process (the "Offering").
The Vendor is contemplating selling up to approx. 45 million shares in the Company (the "Offer Shares") which equals approx. 15% of the Company's outstanding shares. The price in the Offering will be set through an accelerated bookbuilding process and will be denominated in NOK. The Vendor reserves the right, at its sole discretion, to reduce or increase the number of Offer Shares to be sold or to sell no Offer Shares at all (among other based on the pricing achieved through the accelerated bookbuild process).
The bookbuilding period in the Offering will commence today 27 August 2025 and will close on 28 August 2025 at 08:00 CEST. The Vendor and the Managers may, at their sole discretion, extend or shorten the bookbuilding period at any time and for any reason on short or without notice. If the bookbuilding period is extended or shortened, the other dates referred to herein might be changed accordingly.
The Offering is expected to be priced and allocated before 09:00 CEST on 28 August 2025 (T). The settlement in the Offering will be conducted on a normal delivery-versus-payment basis (DVP T+2). The Offer Shares will be tradable on Oslo Børs from T.
The Vendor will enter into a 90-day customary lock-up with the Managers (subject to certain customary exemptions) following the completion of the Offering for the shares the Vendor holds in the Company which are not sold as part of the Offering.
The Vendor is represented on the Company's board of directors by board members Robert J. Nicewicz Jr and Sabrina Gosman.
The minimum order and allocation in the Offering have been set to the NOK equivalent of EUR 100,000. The Managers may, however, offer and allocate an amount below the NOK equivalent of EUR 100,000 in the Offering to the extent exemptions from prospectus requirements, in accordance with Regulation (EU) 2017/1129, are available.
